1. Service Description

1.1 5on5 is a digital platform that helps users organize, manage, and participate in sports events, leagues, and recreational activities.

1.2 Our services include event creation, roster management, communication tools, check-in systems, payment collection, live scoreboard and court management, AI-generated video highlights, and related features to facilitate sports organization.

1.3 5on5 is a facilitator and platform provider. We do not organize, supervise, or control the actual sports activities or events created by users.

2. User Accounts and Eligibility

2.1 You must be at least 13 years old to use 5on5. Users under 18 must have parental consent.

2.2 You agree to provide accurate, current, and complete information when creating your account.

2.3 You are responsible for maintaining the security of your account and phone number access.

2.4 One person may not maintain multiple accounts for the same service.

3. User Conduct and Responsibilities

3.1 Prohibited Activities: You agree not to use 5on5 to:

• Organize or promote illegal activities or unsafe sports practices
• Harass, threaten, or discriminate against other users
• Create fake events, provide false information, or engage in fraudulent activity
• Spam users or send unsolicited commercial messages
• Violate any local, state, or federal laws or regulations

3.2 Event Organization: Event organizers are responsible for ensuring their events comply with local laws, venue requirements, and safety standards.

3.3 Participant Responsibility: Participants are responsible for their own safety and must assess their fitness level before participating in any sports activity.

4. Sports and Physical Activity Risks

4.1 Assumption of Risk: You acknowledge that participation in sports and physical activities involves inherent risks, including but not limited to physical injury, property damage, or death.

4.2 Medical Clearance: You represent that you are physically fit and have no medical conditions that would prevent safe participation in sports activities.

4.3 Personal Responsibility: You participate in all activities at your own risk and are solely responsible for your safety and well-being.

4.4 Insurance: You are responsible for maintaining appropriate health and liability insurance coverage for your participation in sports activities.

5. Liability and Disclaimers

5.1 Platform Limitation: 5on5 is a technology platform that connects users. We do not organize, supervise, or control actual sports events or activities.

5.2 No Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, MISSION LABORATORIES, LLC AND 5ON5 SHALL NOT BE LIABLE FOR ANY INJURIES, DAMAGES, OR LOSSES ARISING FROM YOUR PARTICIPATION IN SPORTS ACTIVITIES OR USE OF OUR PLATFORM.

5.3 User Interactions: We are not responsible for disputes between users, event cancellations, venue issues, or the conduct of event organizers or participants.

5.4 Service Availability: We do not guarantee continuous, uninterrupted access to our services and may modify or discontinue features at any time.

6. Data Collection and Privacy

6.1 Information We Collect: We collect your name, phone number, event participation data, and usage information to provide our services.

6.2 SMS Communications and Marketing Consent: By providing your phone number, you expressly consent to receive SMS messages from Mission Laboratories, LLC and 5on5 for: (a) authentication and account security; (b) event notifications and service-related communications; (c) promotional and marketing communications about 5on5 services, features, and updates; (d) communications from partner organizations, leagues, venues, and businesses regarding sports events, merchandise, equipment, and related products or services that may be of interest to you; and (e) surveys and feedback requests. You understand that message and data rates may apply, and you can opt out of promotional messages at any time by replying STOP, though this may not affect transactional or service-related messages.

6.3 Data Sharing and Business Partnerships: We may share your information with: (a) other users in the context of events you join or organize; (b) service providers necessary to operate our platform; (c) partner businesses, leagues, venues, sports equipment companies, merchandise vendors, and other organizations that offer products or services related to sports and recreation that may interest you; and (d) third-party companies for marketing and promotional purposes. You consent to such sharing for business development, partnership opportunities, and to enhance your sports organization experience.

6.4 Data Retention: We retain your data as necessary to provide services and comply with legal obligations. You may request data deletion by contacting us.

7. Payment and Fees

7.1 Subscription Plans: 5on5 offers a free tier with limited features, a Pro subscription at $29/month, and a League tier with custom pricing. The Pro subscription provides access to premium features including payment collection, gym view, multi-court management, AI highlights, SMS notifications, and more. The League tier adds seasons, standings, playoffs, team management, and custom branding. Current pricing is available at 5on5.app/pricing. We reserve the right to modify pricing with 30 days' notice to existing subscribers.

7.2 Platform Transaction Fee: When event organizers collect player fees through the platform via Stripe, 5on5 charges a 7% platform fee on each transaction. This fee is in addition to Stripe's standard processing fees (currently 2.9% + $0.30 per transaction). The platform fee is deducted before funds are disbursed to the organizer.

7.3 Organizer Payouts: Event organizers receive payouts via Stripe Connect. Payouts are subject to Stripe's terms and payout schedule. 5on5 is not responsible for delays in Stripe payouts or Stripe account holds.

7.4 Event Fees: Event organizers set their own participation fees. Organizers are solely responsible for determining pricing, communicating fees to players, and resolving fee disputes with participants. 5on5 facilitates payment processing but does not set, endorse, or guarantee event fees.

7.5 Refunds: Players may request refunds for event fees within 48 hours of payment. Event organizers and league admins may process refunds within 90 days. Refunds are processed through Stripe and returned to the original payment method. The 5on5 platform fee is non-refundable once the event has occurred. Subscription cancellations take effect at the end of the current billing period; no partial-month refunds are provided.

7.6 Manual Payments: 5on5 allows organizers to display manual payment information (Venmo, CashApp, Zelle, etc.) for player convenience. Transactions made outside the platform are solely between the organizer and player. 5on5 has no involvement in, and assumes no liability for, manual payment disputes.

7.7 Third-Party Charges: You are responsible for any carrier charges for SMS messages and data usage. Stripe's own terms of service apply to all payment processing conducted through our platform.

8. Intellectual Property

8.1 5on5 owns all rights to our platform, software, trademarks, and proprietary content.

8.2 You retain ownership of content you create, but grant us a license to use it as necessary to provide our services.

8.3 You may not copy, modify, distribute, or reverse engineer our platform or services.

9. AI Highlights and Video Content

9.1 Video Uploads: Event organizers may upload game footage for AI-powered highlight generation. By uploading video content, you represent that you have the right to record and share the footage, and that all individuals depicted have been informed that the event is being recorded.

9.2 AI Processing: Our system uses automated analysis (audio, motion, and visual detection) to identify and clip highlights from uploaded footage. AI-generated highlights may not capture all notable moments and may occasionally include non-relevant content. 5on5 makes no guarantees about the accuracy or completeness of AI-generated highlights.

9.3 Content Ownership: You retain ownership of video content you upload. By uploading, you grant 5on5 a non-exclusive, royalty-free license to process, store, and generate highlight clips from your footage for the purpose of providing our services.

9.4 Player Privacy: Event organizers are responsible for informing participants that video may be recorded and processed. Players who do not wish to be recorded should notify the event organizer prior to the event. 5on5 is not responsible for obtaining individual consent from players depicted in uploaded footage.

10. Termination

10.1 You may terminate your account at any time by contacting us or using account settings.

10.2 We may suspend or terminate your account for violations of these Terms, illegal activity, or other conduct that may harm our platform or users.

10.3 Upon termination, your right to use our services ceases, but these Terms remain in effect regarding past use.

11. Dispute Resolution

11.1 Informal Resolution: We encourage users to contact us first to resolve any disputes informally.

11.2 Governing Law: These Terms are governed by the laws of the state where 5on5 is incorporated, without regard to conflict of law principles.

11.3 Limitation Period: Any claims must be brought within one year of the event giving rise to the claim.

12. General Provisions

12.1 Changes to Terms: We may update these Terms periodically. Significant changes will be communicated through our platform or via SMS.

12.2 Severability: If any provision is found unenforceable, the remainder of these Terms remains in full effect.

12.3 Entire Agreement: These Terms constitute the complete agreement between you and Mission Laboratories, LLC regarding our services.

12.4 Assignment: You may not assign your rights under these Terms. We may assign our rights and obligations to affiliated companies.
